UltraPay Referral Program

UltraPay Technologies, Inc. ("UltraPay", "we", "our", or "us") operates a Referral Program that allows existing users ("Referrers") to invite new users ("Referred Users") to join the UltraPay platform. By participating in the Referral Program, you agree to be bound by these Terms and Conditions.

3.1. Each eligible user receives a unique referral code and link via their UltraPay account or waitlist confirmation email.

3.2. When a Referred User signs up using your referral code or link and completes a qualifying transaction, both the Referrer and the Referred User may be eligible for a reward as specified in Section 4.

3.3. Referral rewards are based on verified card activations and qualifying transactions, not sign-ups alone.

4.1. Referral rewards will be communicated to users at the time of the program launch and may be updated from time to time at UltraPay's sole discretion.

4.2. Rewards may be issued in the form of USDC cashback, card credits, or other incentives as determined by UltraPay.

4.3. Rewards are subject to a qualifying transaction being completed by the Referred User within 30 days of registration.

4.4. UltraPay reserves the right to modify, suspend, or terminate the reward structure at any time with reasonable notice to users.

• Each referral code is unique to the individual user and may not be sold, transferred, or published on coupon or deal websites.
• Referral codes must only be shared for personal, non-commercial purposes.
• Mass distribution via spam, automated tools, or paid advertising is strictly prohibited.
• Referral codes may not be used for self-referral or the creation of fake accounts.

6.1. UltraPay takes fraud seriously. Any attempt to manipulate, abuse, or exploit the Referral Program is strictly prohibited and may result in:

• Disqualification from the Referral Program
• Forfeiture of any pending or accrued rewards
• Suspension or termination of your UltraPay account
• Legal action where appropriate

6.2. UltraPay reserves the right to investigate any suspicious activity and to make final determinations regarding eligibility and fraud at its sole discretion.

Referral rewards may be subject to taxation depending on your jurisdiction. UltraPay is not responsible for any tax obligations arising from rewards received through the Referral Program. Users are solely responsible for reporting and paying any applicable taxes.

UltraPay shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Referral Program. Our total liability in connection with the Referral Program shall not exceed the value of the reward issued to you.

UltraPay reserves the right to modify, suspend, or terminate the Referral Program at any time. We will provide reasonable notice of material changes where possible. Continued participation in the program constitutes acceptance of any updated terms.

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
